No. Just install Vista on the other PC. If activation fails, you'll have to call it in. I bought the full retail version of home premium and have been able to activate my copy several times (due to hardware changes, new MB on my computer) sometimes via phone, and sometimes over the internet. However, from what I understand, upgrade and OEM versions of Vista cannot be transferred to another PC. So it depends on what version you you have.

Depends if this was supplied as an OEM product as the OEM license does not permit transfer to a new PC. The full license allows one transfer to a new PC.
Just format it. Then you will have to ring MS to get your other PC activated.
